Terms of Use and End-User License Agreement

The Portal provides account, property, membership and related administrative information for Northport Point community organizations and their affiliated entities. The Portal is provided as a convenience and administrative tool. It is not a bank, payment processor, accounting system of record, or provider of legal, tax or financial advice.

Access is limited to individuals authorized by Northport Point administration, including members, property owners, authorized representatives, staff and administrators. Accounts are personal to the individual to whom they are issued and may not be shared, transferred or used by anyone else.

You are responsible for keeping your sign-in credentials confidential and for all activity that occurs under your account. Notify Northport Point administration promptly if you believe your account has been accessed without authorization.

Access is granted on a least-privilege basis. Being able to see an account or record in the Portal does not itself grant any legal right, ownership interest or authority over that account or record.

You agree not to:

• access data or accounts you are not authorized to view;
• attempt to bypass, probe or defeat authentication, authorization or security controls;
• copy, scrape, resell or redistribute Portal data other than for your own permitted use;
• upload malicious code or interfere with the operation or availability of the Portal;
• use the Portal to harass others or for any unlawful purpose;
• misrepresent your identity or your authority to act for another person or entity.

Use of the Portal may be logged for security, auditing and troubleshooting purposes.

The Portal may connect to QuickBooks Online, provided by Intuit Inc., so that authorized administrators can reconcile Portal records against accounting records.

In this phase, the QuickBooks Online integration is read-only at the application layer. The Portal reads company information, customer and vendor records for reconciliation and comparison only. The Portal does not create, edit, void, delete or pay invoices, payments, journal entries or any other accounting records in QuickBooks Online.

A connection is initiated only by an authorized administrator through Intuit’s OAuth authorization flow and can be disconnected at any time from within the Portal or from within QuickBooks Online. Accounting data displayed in the Portal reflects what the connected QuickBooks Online company reports at the time it is read. QuickBooks Online is an Intuit product and is governed by Intuit’s own terms and privacy policy.

The Portal may rely on third-party providers for hosting, authentication, database services, accounting connectivity, email delivery and, where offered, payment processing. Your use of those services may also be subject to the provider’s own terms.

Where payment processing is offered through a third-party processor, payments are handled by that processor. Raw payment credentials, such as full card numbers or bank account credentials, are not stored by the Portal.

The Portal, including its software, design, text and other content, is owned by Northport Point community organizations or their licensors and is protected by applicable intellectual property laws. Subject to these Terms, you are granted a limited, personal, non-exclusive, non-transferable, revocable license to use the Portal for its intended administrative and member purposes.

You may not copy, modify, reverse engineer, decompile, create derivative works from, sublicense or otherwise exploit the Portal or its software, except to the extent that restriction is prohibited by law. Data you submit remains subject to the rights of the person or entity that owns it; you grant permission to use submitted data to operate the Portal.

The Portal is provided on an “as is” and “as available” basis. Access may be interrupted for maintenance, upgrades, third-party outages or other reasons, and features may change or be withdrawn.

To the fullest extent permitted by law, no warranties of any kind, express or implied, are made regarding the Portal, including warranties of merchantability, fitness for a particular purpose, non-infringement, or that information displayed is complete, current or error-free. Records shown in the Portal may differ from the underlying official records maintained by the relevant organization or accounting system, and the official records control.

To the fullest extent permitted by law, Northport Point community organizations, their officers, employees, contractors and service providers are not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits or lost data, arising from use of, or inability to use, the Portal.

Access may be suspended or terminated at any time, with or without notice, if authorization ends, if these Terms are violated, or if suspension is reasonably necessary to protect the Portal, its data or its users. You may stop using the Portal at any time and may ask administration to close your access. Provisions that by their nature should survive termination will survive.

These Terms may be updated from time to time. The effective date above will be revised when changes are made, and material changes may also be communicated within the Portal. Continued use after an update means you accept the updated Terms.

These Terms are governed by the laws applicable in the jurisdiction in which the operating Northport Point organization is established, without regard to conflict-of-law rules, and to the extent permitted by any mandatory law that applies to you. Disputes will be brought in the courts of that jurisdiction unless applicable law requires otherwise. If any provision is found unenforceable, the remaining provisions remain in effect.
